The Website is operated by GoClarifi, doing business as ResolveIQ. In these Terms, "ResolveIQ," "GoClarifi," "we," "us," and "our" refer to GoClarifi.

By accessing the Website, submitting information, scheduling a call, communicating with us, or using any Website feature, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website.

1. Website Purpose

ResolveIQ provides information about technology advisory, systems strategy, technology evaluation, platform selection, implementation planning, systems alignment, workflow improvement, CRM, ERP, finance systems, procurement platforms, construction technology, estimating and takeoff systems, project-management systems, jobsite systems, marketing technology, automation, artificial intelligence, large language models, agents, and related consulting services.

The Website is intended to help business owners, executives, general contractors, construction leaders, Chief Estimators, preconstruction leaders, operations leaders, healthcare operations professionals, finance and procurement stakeholders, technology leaders, systems owners, and other qualified business users understand ResolveIQ and request a conversation.

Website content is provided for general informational and business-development purposes. Accessing the Website or submitting an inquiry does not create a consultant-client, contractor-client, fiduciary, employment, partnership, joint-venture, or other professional relationship.

A formal engagement with ResolveIQ exists only after the appropriate parties enter into a separate written agreement.

2. No Professional or Project-Specific Advice

Information on the Website does not constitute legal, accounting, tax, architectural, engineering, safety, estimating, financial, insurance, construction-management, or other licensed professional advice.

Submission of information does not require ResolveIQ to accept an engagement, provide a proposal, enter into a contract, or provide services.

• Submit fraudulent, deceptive, defamatory, threatening, discriminatory, or unlawful material;

Your use of a third-party service may be governed by that provider's terms and policies.

A link to a third-party website does not necessarily constitute an endorsement, warranty, partnership, or recommendation.

8. Appointment and Discovery-Call Requests

Submitting a scheduling form or selecting an available calendar time constitutes a request for a meeting. It does not guarantee that a meeting has been accepted or that ResolveIQ will provide services.

Appointments may be confirmed, modified, rescheduled, or canceled when reasonably necessary. You are responsible for providing accurate contact information and reviewing confirmation or rescheduling messages.

A discovery call is intended to support an initial business conversation. It is not a project audit, binding recommendation, construction estimate, implementation commitment, or guarantee that ResolveIQ will be a suitable provider.

9. SMS and MMS Messaging Terms

Program Name

The messaging program is operated under the name ResolveIQ Communications.

Program Description

Depending on the consent you provide, ResolveIQ may send:

Non-marketing messages, such as:

• Responses to an inquiry;
• Strategy-call or discovery-call confirmations;
• Appointment reminders;
• Rescheduling or cancellation notices;
• Requested follow-up;
• Service-related communications;
• Customer-care responses.

Marketing messages, only when you provide separate marketing consent, such as:

• Event or webinar invitations;
• Service announcements;

• Marketing follow-up.

Consent to non-marketing messages does not automatically constitute consent to marketing messages.

Voluntary Consent

Delivery

Wireless carriers are not liable for delayed or undelivered messages. Message delivery is subject to carrier availability, device compatibility, network conditions, and other circumstances outside ResolveIQ's control.

ResolveIQ does not guarantee that every message will be received.

Supported Carriers

The messaging program may be supported by major United States wireless carriers. Carrier participation and support may change without notice.

Privacy

Information collected through the messaging program is handled according to our Privacy Policy, available at:

Mobile information, SMS opt-in data, and messaging consent will not be sold or shared with third parties or affiliates for their marketing or promotional purposes.

10. Email Communications

When you provide an email address, ResolveIQ may use it to:

• Confirm or manage an appointment;
• Communicate about a current or potential business relationship;

• Send marketing communications where permitted by law.

ResolveIQ disclaims express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and security.

ResolveIQ does not warrant that:

14. Limitation of Liability

To the fullest extent permitted by law, ResolveIQ's total liability arising from Website use will not exceed the greater of one hundred dollars or the amount you paid directly to ResolveIQ specifically for Website access during the six months before the event giving rise to the claim.

This limitation does not apply where prohibited by law or to liability that cannot legally be limited.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ResolveIQ and its owners, officers, employees, contractors, affiliates, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:

• Your misuse of the Website;
• Your violation of these Terms;
• Information or material you submit;
• Your violation of law or third-party rights;
• Your unauthorized disclosure of confidential or proprietary information.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, any legal proceeding relating to the Website or these Terms must be brought in the state or federal courts located in Harris County, Texas, and each party consents to the jurisdiction of those courts.

Before filing a legal action, the parties agree to make a reasonable good-faith effort to resolve the dispute through direct communication.

17. Changes to the Website or Terms

We may modify the Website or these Terms when reasonably necessary to reflect changes in services, technology, business practices, legal requirements, or messaging programs.

The updated version will be posted with a revised "Last Updated" date. Your continued use of the Website after an update constitutes acceptance of the revised Terms.

18. Severability and Waiver
